What is the difference between an assignment agreement and a license agreement?
The key difference is that under a license agreement, the exclusive right remains with the rights holder, whereas under an assignment agreement, ownership changes hands. In other words, with a license agreement you grant the right to use your intellectual property while retaining ownership; with an assignment agreement you transfer your rights in full.
How long does it take to register agreements with Rospatent?
Rospatent registers the disposal of exclusive rights for trademarks, inventions, utility models, and industrial designs. The procedure takes approximately two months.
Is it mandatory to register a license agreement with Rospatent?
If an intellectual property object is subject to state registration, the granting of the right to use such an object under a license agreement must also be registered. If the requirement for state registration of the transfer or granting of rights is not met, such transfer or granting is deemed not to have occurred, in accordance with paragraph 6, Article 1232 of the Civil Code of the Russian Federation.
